Operator

Spark Pro is operated from the United Arab Emirates by SDFY Innovations Ltd. These terms apply to Spark Pro pages, member vault access, x402 yearly purchases, lifetime wallet verification, protected drops, member tooling, and support grants.

Support and legal notices can be sent to support@sparkswarm.ai. You agree that account notices may be sent by email, in-product notice, or posting on the Spark Pro site where appropriate.

What Spark Pro Provides

Spark Pro is a member-only operating layer for agentic tools, Skill Graphs, mutation packs, X content systems, private workflows, and current and future drops. Access is tied to the verified email, wallet, device, purchase record, lifetime verification, or support grant we approve for a member account.

Drops may include files, prompts, workflows, hosted tools, research systems, content systems, agent instructions, code-adjacent resources, documentation, or other private member materials. Some drops may be updated, replaced, combined, paused, or retired as Spark Pro evolves.

Member Eligibility

You must be at least 18 years old, able to enter a binding agreement, and able to lawfully use Spark Pro from your location. You must provide accurate account, wallet, and support information. If you join for a company, team, or other organization, you confirm that you are authorized to accept these terms for that organization. Spark Pro may refuse, suspend, or revoke access where required for security, abuse prevention, payment integrity, sanctions compliance, or legal risk.

Acceptance

You accept these terms when you create or use a Spark Pro account, check the terms box before x402 checkout, submit a wallet payment, bind a lifetime wallet, receive a support grant, or use member-only drops. If you do not agree, do not buy, bind, access, install, or use Spark Pro materials.

By checking the checkout box and submitting payment, you request immediate digital access after payment confirmation and acknowledge that member-only drops may become available before any cooling-off period would otherwise expire, to the extent this is allowed by applicable law.

Purchases

The launch payment rail is a $179 x402 yearly pass on Base mainnet USDC. It is a one-time digital access purchase for the stated yearly access period. It does not automatically renew. Monthly x402 is not offered. Stripe/card subscriptions are prepared for later but are not currently open.

The price shown before checkout is the Spark Pro access price. You are responsible for any wallet, network, exchange, conversion, gas, platform, bank, tax, withholding, or third-party fees that are not charged by Spark Pro. Onchain payments may be irreversible once submitted or settled.

Consumer Rights

Nothing in these terms excludes, limits, or waives any consumer-protection, electronic-commerce, product-safety, refund, cancellation, data-protection, or other rights that cannot legally be excluded under the laws that apply to you. If a required legal rule conflicts with these terms, that required rule controls only to the extent of the conflict.

Refunds

All Spark Pro digital access purchases are final and non-refundable once access is granted, except where a refund is required by applicable law or where Spark Pro cannot provide the purchased access. A change of mind, failure to use the drops, wallet mistake, duplicate account, loss of wallet access, failure to meet your own technical setup requirements, or partial-period cancellation does not create a refund right unless mandatory law says otherwise.

If the service materially fails to provide the access purchased and we cannot correct the issue within a reasonable time after receiving the information needed to investigate, Spark Pro may provide a lawful refund, manual activation, replacement access, or another legally appropriate remedy.

Cancellations

x402 yearly passes are not subscriptions and do not have an auto-renewing cancellation workflow. Once access is granted, cancelling future use does not cancel the completed one-time purchase or create a partial refund. If Stripe/card subscriptions are opened later, cancellation terms for that separate rail will be shown before purchase.

Private License

During active access, Spark grants you a limited, revocable, non-exclusive, non-transferable license to use member-only drops and tools for your own personal work or internal business workflows. Spark and its licensors keep all ownership rights in Spark Pro, including drops, tools, prompts, workflows, code, documentation, designs, names, marks, and private systems.

This license does not give you ownership of Spark Pro materials, and it does not allow redistribution, resale, sublicensing, public release, marketplace listing, mirroring, scraping, training-dataset packaging, or competing product extraction.

Your Work Product

You may use the ordinary work product you create with Spark Pro for your own personal or internal business purposes, subject to applicable law, third-party platform rules, and these terms. That does not let you publish, package, resell, or redistribute the private Spark Pro source materials, member packages, prompts, workflows, docs, access links, hosted tools, or vault contents used to create that work product.

No Sharing or Resale

You may not share, sell, publish, leak, upload, mirror, torrent, scrape, sublicense, rent, lend, or otherwise distribute member-only drops, private URLs, packages, access tokens, prompts, docs, hosted tool outputs meant to be private, or account credentials. You may not use a shared mailbox, shared wallet, shared device pool, or automation to let non-members access Spark Pro.

You may not remove watermarks, canaries, hashes, package metadata, provenance data, access controls, or other security markers. We may use access logs, package fingerprints, canaries, wallet records, and other security signals to investigate suspected sharing, abuse, or unauthorized distribution.

Unauthorized sharing may cause immediate suspension or revocation, loss of access to future drops, removal of device approvals, and legal action where appropriate. Spark may also disable compromised packages, rotate access links, or replace affected drops to protect other members.

Team Use

Unless Spark gives written permission or offers a team plan, one Spark Pro membership is for one verified member profile. Internal business use is allowed for the member's own work, but giving other people direct access to the vault, packages, private drops, hosted tools, or credentials requires separate permission or separate memberships.

Prohibited Use

You may not use Spark Pro to break the law, infringe rights, bypass access controls, attack systems, impersonate others, distribute malware, spam, create deceptive content at scale, violate platform rules, or use private drops to build a substantially similar competing product or dataset. You are responsible for how you use outputs, workflows, and automations created with Spark Pro materials.

Feedback

If you send suggestions, bug reports, feature ideas, examples, or other feedback, Spark may use them to improve Spark Pro without owing compensation, royalties, or a separate license fee. This does not transfer ownership of your separate pre-existing content or private business data to Spark.

AI, Trading, and Professional Decisions

Spark Pro materials are tools and educational or operational systems, not legal, financial, tax, investment, medical, or professional advice. Crypto, trading, content, automation, and agentic workflows involve risk. You are responsible for reviewing outputs, complying with laws and platform terms, and deciding whether a workflow is suitable for your use case.

No Guaranteed Outcomes

Spark Pro does not guarantee revenue, trading performance, audience growth, rankings, employment results, platform approval, model accuracy, uptime, or any specific business outcome. Agentic tools can produce incomplete, incorrect, or unsuitable outputs, so you must review important work before relying on it.

Activation Issues

If a payment is confirmed but access does not activate, email support@sparkswarm.ai with the member email, wallet address, transaction hash, and a screenshot or wallet activity link. We may manually activate access after confirming the payment.

Lifetime Wallets

Lifetime passes are sold out. Existing allowlisted lifetime wallets can verify into Pro access and bind one email for normal login, but no additional lifetime passes are being sold through Spark Pro.

Security and Account Recovery

You are responsible for keeping your email, password, wallet, devices, and recovery channels secure. Tell Spark promptly if you believe your account, wallet, device, private package, access token, or member-only material has been compromised. Spark may rotate access codes, pause installs, revoke sessions, or require additional verification to protect the vault.

Service Changes

We may update drops, access rules, package delivery, security controls, and member tooling as the system evolves. We aim to ship future Pro drops while access is active, but exact drop format, timing, and scope may vary for security, quality, maintenance, legal, or operational reasons.

We may suspend or revoke access for abuse, payment problems, chargeback or dispute abuse, security risk, unauthorized sharing, violation of these terms, or attempts to bypass member gates. Revocation for breach does not create a refund right unless mandatory law requires otherwise.

Disputes and Chargebacks

Contact support@sparkswarm.ai first if something goes wrong. If you open a payment dispute or chargeback after access was granted, Spark may suspend access while the issue is investigated. Nothing in these terms limits any mandatory consumer-protection rights that apply to you.

Privacy and Records

Spark may process account, wallet, session, payment, device, install, delivery, abuse-prevention, and support records as described in the Privacy Policy. We keep records needed to provide access, reconcile payments, protect member-only materials, investigate abuse, and comply with legal obligations.

Third-Party Services

Spark Pro may rely on third-party services such as wallets, Base, x402 facilitators, GitHub, Google, email providers, hosting providers, storage providers, and payment processors. Spark is not responsible for third-party outages, wallet errors, network fees, chain congestion, unsupported wallets, exchange issues, or failures outside Spark's reasonable control.

Availability and Warranties

Spark Pro is provided on an "as is" and "as available" basis to the maximum extent allowed by law. We work to keep member systems useful and secure, but we do not promise uninterrupted service, error-free drops, permanent availability of every tool, or compatibility with every wallet, browser, device, model, API, or third-party platform.

Liability

To the maximum extent allowed by law, Spark is not liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for losses caused by third-party services, wallet mistakes, blockchain network issues, user misuse, unauthorized sharing, platform enforcement, or reliance on unreviewed outputs. Where liability cannot be excluded, Spark's total liability is limited to the amount you paid Spark Pro for the affected yearly access period, unless mandatory law requires a different result.

Indemnity

To the extent allowed by law, you agree to defend and hold Spark, its operators, contractors, and service providers harmless from claims, losses, damages, liabilities, costs, and expenses caused by your unlawful use, unauthorized sharing, breach of these terms, infringement of third-party rights, or misuse of member-only drops, wallets, accounts, automations, or outputs.

Compliance

You are responsible for complying with laws, sanctions, export controls, platform terms, wallet rules, tax obligations, and professional obligations that apply to your use of Spark Pro. Spark Pro access is not a token, investment product, security, or promise of financial return.

After Access Ends

When membership access ends or is revoked, you must stop accessing the vault, hosted tools, private drop links, updates, future drops, and member-only support. The restrictions on private materials, no sharing, no resale, intellectual property, disclaimers, liability, dispute handling, and governing law continue after access ends.

Changes to Terms

We may update these terms as Spark Pro evolves. Material changes will be posted on this page or shown in the product where appropriate. Continuing to use Spark Pro after updated terms are posted means you accept the updated terms for future use, without reducing mandatory rights that already apply to a completed purchase.

Severability

If part of these terms is found invalid or unenforceable, the rest remains in effect, and the invalid part will be interpreted or replaced in the closest lawful way to preserve the intended protection and commercial purpose.

Governing Law

These terms are governed by the laws applicable in the United Arab Emirates, without limiting any mandatory consumer-protection, electronic-commerce, data-protection, cancellation, refund, or other rights that may apply to a member. The competent courts of the United Arab Emirates will have jurisdiction, unless a mandatory law gives you the right to bring a claim somewhere else.
